Please read these Terms of Service ("Terms") carefully before using the NexagentX website or engaging our services. By accessing our website or engaging NexagentX for any service, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.
NexagentX is a trading name operated by Satish Karkare, based in the United Kingdom. We provide AI voice agent technology, WhatsApp bot development, business automation and Power BI consulting services to UK businesses.

NexagentX offers the following services (each individually a "Service"):
The specific scope, deliverables, timelines and fees for each Service will be agreed in writing (by email or a separate Statement of Work) before work commences.
3.1 Subscription Services (AI Voice Agents / WhatsApp Bots)
Monthly subscription fees are charged in advance. Payment is due within 7 days of invoice. Plans are available from £199/month. Prices are subject to change with 30 days' written notice.
3.2 Project-Based Services (Automation / Power BI)
Fees for project-based work will be set out in a Statement of Work or proposal. Unless otherwise agreed, a 50% deposit is required before work begins, with the balance due on completion.
3.3 Late Payment
We reserve the right to charge interest on late payments at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3.4 Currency
All prices are in British Pounds Sterling (GBP) and are exclusive of VAT where applicable.
AI Voice Agent subscriptions include a 14-day free trial. No payment information is required to start a trial. After the trial period, the subscription will become chargeable. You may cancel at any time during the trial without charge.
5.1 Monthly Subscriptions
You may cancel your subscription at any time by giving 30 days' written notice to hello@nexagentx.com. There are no long-term contracts or cancellation penalties. No refunds are issued for the current billing month on cancellation.
5.2 Project-Based Work
Once work has commenced, the deposit is non-refundable. If you cancel a project after the deposit stage, you are liable for fees proportional to the work completed.
5.3 Satisfaction
If you are not satisfied with our services, please contact us within 14 days of delivery. We will use reasonable endeavours to resolve any issues.
6.1 Our IP: All content on this website, including text, design, code and graphics, is the intellectual property of NexagentX and may not be reproduced without written permission.
6.2 Deliverables: Upon full payment of all fees, NexagentX assigns to the client all intellectual property rights in bespoke deliverables (e.g. custom Power BI reports, automation workflows) created specifically for that client. Tools, frameworks and generic components developed by NexagentX remain our property and are licensed (not sold) to you on a non-exclusive basis.
6.3 Client Materials: You grant NexagentX a limited licence to use your materials (logo, content, data) solely for the purpose of delivering the Services.
Both parties agree to keep confidential all proprietary or sensitive information shared in connection with the Services and not to disclose it to third parties without prior written consent, except as required by law.
Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. In the context of service delivery, where we process personal data on your behalf, we act as a data processor and you act as the data controller. We will process such data only on your documented instructions and in compliance with UK GDPR.
To the maximum extent permitted by law:
We warrant that we will deliver the Services with reasonable skill and care. Except as expressly stated, all other warranties, conditions or terms are excluded to the fullest extent permitted by law. This website and its content are provided "as is" without warranty of any kind.
Our AI Voice Agent and automation services rely on third-party platforms (including but not limited to telephony providers, OpenAI, ElevenLabs, Deepgram, LiveKit, and n8n). We are not responsible for outages or changes to third-party services that affect our ability to deliver. We will use reasonable endeavours to maintain service continuity.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage resolution of disputes informally in the first instance — please contact us at hello@nexagentx.com before initiating any formal proceedings.
We may update these Terms from time to time. We will notify active clients of material changes with at least 30 days' notice. Continued use of the website or services after the effective date of changes constitutes acceptance.
